1. Who we are and what these terms cover
SignalWealth is provided by SignalWealth Inc., a Delaware corporation ("SignalWealth", "we", "us"). These terms cover every part of the platform: the CRM, the client portal and Financial Picture (including connected financial accounts), Studio (content, video, voice and publishing), firm websites and blogs, texting, calling and fax, e-signature, the mobile app, the AI connector and AI features, and our support.
"Customer" or "your firm" means the advisory firm, agency or business that signs up, and "you" means the customer and the people it lets use SignalWealth. Whoever accepts these terms for a firm confirms they can bind it. Our Privacy Policy, Security page, subprocessor list and, where your firm signs one, our Data Processing & Security Addendum ("DPA") are part of these terms. If the DPA and these terms conflict on data protection, the DPA wins.
2. Accounts and access
- Your firm's admins decide who on your team has access and what role they have, and remove people who leave. Removing a user cuts off their access right away.
- Keep sign-in details private. Two-factor sign-in is required for firm admins. Tell us promptly at security@signalwealth.io if you think an account has been misused.
- A small number of named SignalWealth staff hold administrative access to run, support, troubleshoot and repair the platform. That access is not managed by your firm's admins, is not used to read or work your client data for any other purpose, and is recorded in an audit log.
3. Your data
- You own it. "Customer Data" means everything your firm or its clients put into SignalWealth, including contacts, client records, documents, messages, recordings, account information from connected accounts, and content you create. Your firm owns its Customer Data.
- We are your service provider. We process Customer Data only to provide, secure, support and improve the service for you, as your firm directs, or as the law requires.
- No selling, no training. We do not sell Customer Data, use it for advertising, or use it to train AI models.
- Aggregate information. We may use counts and usage measurements that don't identify your firm, your users or your clients to run and improve the service.
4. Security and security incident notice
We maintain administrative, technical and physical safeguards designed to protect Customer Data, described on our Security page, and we keep a written incident response plan.
Notice to your firm. If we become aware of unauthorized access to or use of your firm's Customer Data, or of a breach of security resulting in unauthorized access to a system we or our subprocessors maintain that holds it (a "Security Incident"), we will notify your firm's admins without undue delay and no later than 72 hours after becoming aware of it. The notice will describe, as far as we then know, what happened and when, the types of information and the clients that appear to be affected, what we have done to contain it, and a contact for questions. We will send updates as we learn more, take reasonable steps to contain and fix the cause, preserve the relevant records, and give your firm the information it reasonably needs to meet its own obligations, including any notice to its clients or regulators. Your firm decides whether and how to notify its clients; we will not contact your clients about a Security Incident without your firm's agreement unless the law requires it.
This notice obligation is meant to meet what the SEC's amended Regulation S-P (17 CFR 248.30) expects of a covered firm's service providers, and similar state requirements.
5. Subprocessors
We use the service providers listed at signalwealth.io/subprocessors to run SignalWealth, under written terms that require them to protect the data they receive. We will email your firm's admins at least 30 days before a new subprocessor starts receiving Customer Data. If your firm reasonably objects on data-protection grounds within that time and we can't offer an alternative, your firm may cancel the affected service and we will refund prepaid fees for the rest of the term. We remain responsible for our subprocessors' handling of Customer Data.
6. Your responsibilities
- SignalWealth is software. It does not provide investment, tax, legal or compliance advice, does not approve communications, and is not your compliance department.
- You are responsible for the accuracy of what you enter, for your communications with clients and prospects, for reviewing and approving content before it is published or sent, and for your disclosures and approvals under the rules that apply to your practice (for example, SEC, FINRA, state securities and insurance rules).
- You are responsible for your own record-keeping obligations. SignalWealth's archiving feature can keep copies of messages for you, but deciding what you must keep, for how long, and exporting it before you leave is your firm's responsibility.
- You are responsible for having the right to put your clients' information into SignalWealth and to contact the people you contact through it, including any notices and consents the law requires.
7. Texting, calls and fax
- When your firm texts, calls or faxes through SignalWealth, your firm is the sender. You must have the consent the law requires (including under the Telephone Consumer Protection Act and carrier rules), honor opt-outs (SignalWealth stops texts to anyone who replies STOP), and provide accurate information for carrier registration.
- If your firm records calls, you are responsible for any notice and consent your state's law requires. SignalWealth plays a recording notice when call recording is on.
- Carriers can filter, delay or block messages, and registration and number transfers depend on carriers' reviews. We aren't responsible for carrier decisions.
8. AI features
- Some features use AI to draft, summarize, transcribe, score or respond. AI output can be wrong or incomplete. Review it before you rely on it, publish it or send it.
- AI features that work with client conversations (call notes, meeting notes, the texting and website assistant) are off until your firm turns them on.
- AI requests go to the AI providers on our subprocessor list through their business services, and only the data each request needs is sent. We do not use Customer Data to train AI models.
- The AI connector lets an AI assistant your firm chooses (ChatGPT, Claude or any AI assistant that supports MCP connectors) read your workspace and build drafts, which are saved switched off. Your firm is responsible for its use of that assistant under the assistant provider's terms.
9. Connected services and recordings
You can connect third-party services such as Zoom, Google, Microsoft, Meta, LinkedIn and Plaid. Your use of those services is also governed by their own terms, and Plaid's use of a client's information is governed by Plaid's End User Privacy Policy. You can disconnect them at any time in Settings → Integrations, and what we store from them is described in our Privacy Policy. We aren't responsible for the availability or behavior of third-party services.
If you record calls or meetings, or use AI notes on them (including automatic notes from Zoom cloud recordings), you are responsible for telling participants and getting any consent your state's law and your compliance rules require. AI-written notes can contain mistakes; review them before relying on them.
10. Plans, billing and trials
- Plans, add-ons and usage charges (for example texts, calls, e-signature documents and video minutes beyond your plan's allowance) are shown at signup and in Settings → Billing. Prices exclude taxes.
- We bill through Stripe, our payment processor; we never see or store your full card number. Subscriptions renew each billing period until cancelled. Add-ons and extra seats are charged when added.
- If a trial is offered, you won't be charged until it ends unless you choose to start right away.
- You can cancel at any time; access continues to the end of the period you've paid for. Fees already paid aren't refunded except as these terms say.
- If a payment fails and isn't fixed after reminders, we may pause access until it is. Your data is kept while paused.
- We may change prices with at least 30 days' notice before your next renewal.
11. Availability and changes
We work to keep SignalWealth available and to fix problems quickly, and we schedule maintenance to limit disruption. Unless we agree to a service level in writing, we don't guarantee uninterrupted service. We improve SignalWealth continually; if we remove a feature your firm relies on in a way that materially reduces the service, we will tell your firm's admins in advance where we reasonably can.
12. Acceptable use
Don't use SignalWealth to break the law, send spam or messages without the required consent, mislead people, infringe others' rights, upload malware, probe or attack the platform, get around its limits or security, or access another firm's data. We may suspend use that does, with notice where practical.
13. Intellectual property
You keep ownership of your content and Customer Data. SignalWealth Inc. owns the platform: its software, designs, workflows, internal systems, branding and methodology. You may use it while subscribed under these terms. If you send us suggestions, we may use them without obligation to you.
14. Confidentiality
Each of us will protect the other's non-public information with at least reasonable care, use it only for this relationship, and share it only with people and providers who need it and are bound to protect it. Customer Data is your firm's confidential information. This doesn't apply to information that is public, already known, or independently developed, or that the law requires to be disclosed (with notice to the other party where allowed).
15. SMS Messaging Terms
By providing your mobile phone number and opting in through our website, forms, or other communication channels, you agree to receive SMS or MMS messages from SignalWealth related to our services.
SMS messages may include account notifications, onboarding instructions, workflow alerts, platform updates, and occasional promotional announcements related to SignalWealth services.
Message frequency may vary. Message and data rates may apply.
You may opt out at any time by replying STOP. For assistance, reply HELP or contact support@signalwealth.io.
Consent to receive SMS messages is not a condition of purchase.
Carriers are not liable for delayed or undelivered messages.
For more information, please review our Privacy Policy.
This section covers messages SignalWealth itself sends to you. Messages your firm sends to its own clients through SignalWealth are your firm's messages (section 7).
16. Age Restriction
SignalWealth services and SMS programs are intended for individuals 18 years of age or older.
By opting in, you confirm that you are at least 18 years old.
17. Termination, export and deletion
- Your firm can stop using SignalWealth and cancel at any time. We may suspend or end access for non-payment, a serious or repeated breach of these terms, or where the law requires, with notice where practical.
- For 30 days after an account ends, your firm can export its data (or ask us to). After that we delete it. A closure archive is kept for 90 days in case of a mistake and then deleted automatically, and backups expire within 35 days.
- If your firm asks us to delete its data sooner, we will, after confirming the request with an admin.
- Sections 3, 4 (for incidents we learn of before deletion is complete), 6, 13, 14 and 17 to 21 continue after termination.
18. Disclaimers
Except as these terms expressly say, SignalWealth is provided "as is" and "as available", and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows.
19. Limitation of liability
To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or goodwill. Each party's total liability under these terms is limited to the fees your firm paid us in the 12 months before the event giving rise to the claim, except that for breaches of section 3 (your data), section 4 (security and incident notice) or section 14 (confidentiality) the limit is two times that amount. These limits don't apply to fraud, willful misconduct, a party's indemnity obligations, or your firm's obligation to pay fees.
20. Indemnity
Your firm will defend us against third-party claims arising from its content, its communications with clients and prospects, or its breach of section 6, 7 or 12. We will defend your firm against third-party claims that SignalWealth, as we provide it, infringes their intellectual property. Each party pays damages finally awarded or agreed in settlement, if the other party gives prompt notice and reasonable cooperation.
21. General
- Changes to these terms. We'll give firm admins at least 30 days' notice of material changes by email and in the CRM. Continued use after the effective date means acceptance; if your firm doesn't agree, it may cancel before then.
- Governing law. These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, and disputes go to the state or federal courts located in Collin County, Texas.
- Notices. We send notices to your firm's admins by email. Send notices to us at support@signalwealth.io with the subject "Legal notice", or by mail to SignalWealth Inc., 4760 Preston Rd, Suite 244-271, Frisco, TX 75034.
- Neither party is liable for delays caused by events beyond its reasonable control. Neither party may assign these terms without the other's consent, except to a successor of its business. If a provision is unenforceable, the rest still applies. These terms (with the documents in section 1) are the whole agreement about SignalWealth.
22. Copyright complaints (DMCA)
SignalWealth hosts content that firms publish, such as firm websites, blogs, videos and portal documents. We respect copyright and respond to notices of claimed infringement under the Digital Millennium Copyright Act (17 U.S.C. 512). Our designated agent is registered with the U.S. Copyright Office (registration DMCA-1084185).
Designated agent: Tod Long, SignalWealth Inc., 4760 Preston Rd, Suite 244-271, Frisco, TX 75034. Email: support@signalwealth.io (subject "DMCA notice").
A notice must include:
- your physical or electronic signature;
- the copyrighted work you say is infringed;
- the material you say infringes it, and where it is (for example, the page address);
- your name, address, phone number and email;
- a statement that you believe in good faith the use is not authorized by the copyright owner, its agent or the law; and
- a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner.
When we receive a valid notice, we remove or disable the material and tell the firm that posted it. A firm that believes the material was removed by mistake may send a counter-notice to the same agent with its signature, the material removed and where it was, a statement under penalty of perjury that it was removed by mistake or misidentification, and its name, address, phone number and consent to the jurisdiction of the federal district court for its address. We forward the counter-notice to the complainant and may restore the material in 10 to 14 business days unless the complainant tells us it has filed a court action.
We terminate, in appropriate circumstances, the accounts of users and firms that repeatedly infringe. Knowingly false notices or counter-notices can create liability for damages under 17 U.S.C. 512(f).
